1. About these Terms

These Terms of Service govern your use of the Website popstrap.shop and all related content, features, tools, and services (together, the "Services") made available by RANK SAS ("POPSTRAP", "we", "us"), a French SAS with share capital of €1,000, SIREN 934 234 949 RCS Rennes. By accessing or using the Services, you accept these Terms in full. If you do not accept them, please do not use the Services.

If you make a purchase on the Website, your purchase is also governed by our Terms of Sale. In case of conflict, the Terms of Sale prevail with respect to the purchase relationship.

2. Eligibility

You must be at least 18 years old, or have the consent of your legal guardian, and have the legal capacity to enter into binding contracts. The Website is not intended for minors under the age of 16.

3. Account & waitlist

You are responsible for keeping your account credentials and waitlist email confidential and for all activity that takes place under them. Notify us promptly at contact@popstrap.shop if you suspect unauthorised access.

4. Acceptable use

You agree not to:

  • use the Services for any unlawful, fraudulent, abusive, defamatory, harassing, or harmful purpose;
  • infringe or violate any intellectual property right, privacy right, or other right of POPSTRAP or any third party;
  • attempt to access, scrape, copy, mirror, reverse-engineer, decompile, disassemble, or otherwise misappropriate any part of the Services, including by automated means (bots, crawlers) other than search-engine indexing;
  • upload viruses, malware, or any code designed to disrupt or impair the Services;
  • interfere with security, authentication, or access-control measures;
  • resell access to the Services, or use the Services for the benefit of any third party, without our prior written consent.

We may suspend or terminate access to the Services in case of breach of these Terms.

5. Intellectual property

The Services and their content (text, images, video, sound, design, logos, trademarks, source code, structure, databases) are protected by intellectual property law and are the exclusive property of RANK SAS or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for personal, non-commercial purposes.

You may not reproduce, modify, distribute, publicly display, communicate, exploit, or create derivative works of the Services or their content without our prior written authorisation. Any unauthorised use constitutes infringement (contrefaçon) sanctioned by Articles L335-2 et seq. of the French Intellectual Property Code.

The "POPSTRAP" name and logo are trademarks of RANK SAS. All other names and marks are the property of their respective owners.

6. User submissions

If you send us feedback, suggestions, or content (e.g., review, photo, message), you grant us a worldwide, royalty-free, perpetual, non-exclusive, sublicensable licence to use, reproduce, adapt, publish, translate, and distribute such content in connection with our business. You warrant that such content does not infringe third-party rights and is not unlawful.

7. Third-party links

The Services may include links to third-party websites. We do not control these sites and are not responsible for their content, products, services or privacy practices.

8. Disclaimers

The Services are provided "as is" and "as available", without warranty of any kind except as expressly provided in these Terms, the Terms of Sale, or applicable consumer protection law. We do not guarantee uninterrupted access, error-free operation, or freedom from viruses, despite reasonable efforts to that effect.

9. Limitation of liability

To the maximum extent permitted by applicable law, our liability for any matter arising out of or related to your use of the Services (other than the purchase of products, which is governed by the Terms of Sale) is limited to the lesser of (i) the total amount you paid us in the twelve (12) months preceding the event giving rise to the liability, or (ii) one hundred euros (€100). We are not liable for indirect, incidental, special, consequential, or punitive damages, loss of profit, loss of data, or loss of opportunity, even if foreseeable.

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including statutory consumer rights.

10. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold harmless RANK SAS, its officers, directors, employees, and partners from any claim, loss, damage, or cost (including reasonable legal fees) arising from (i) your breach of these Terms, (ii) your unlawful use of the Services, or (iii) your violation of any third-party right.

11. Suspension & termination

We may, at our sole discretion and without prior notice, suspend or terminate your access to the Services in case of breach of these Terms, suspected fraud or abuse, or for any legitimate reason.

12. Modifications

We may update these Terms from time to time. The version in force is the one published on the Website on the date you access or use the Services. Continued use after an update constitutes acceptance of the updated Terms.

13. Governing law and jurisdiction

These Terms are governed by French law. Any dispute that cannot be resolved amicably or through mediation shall be subject to the competent French courts. As a consumer, you may bring proceedings before the courts of your place of residence or of our registered office.
